VendorDesk Terms of Service
These Terms of Service ("Terms") are an agreement between Fantasium Media LLC, a Montana limited liability company owned by Daniel Loudenback and based in Bozeman, Montana, USA ("Fantasium Media," "we," "us"), and the business that signs up for VendorDesk ("Customer," "you").
By creating an account, signing an order form, or using VendorDesk, you agree to these Terms. If you are accepting on behalf of a company, you confirm you have authority to bind it.
Questions: support@deskapps.app. Mail: Fantasium Media LLC, PO Box 186, Gallatin Gateway, MT 59730, USA.
1. What VendorDesk is
VendorDesk (the "Service") is a web app, available at vendordesk.deskapps.app, that wholesalers and brands use to run a dropship program. With VendorDesk:
- Your retailers list your products and send you orders.
- VendorDesk checks each order (stock, address, shipping regions).
- VendorDesk charges the retailer, or invoices them on net terms you set.
- VendorDesk creates the order in your store or keeps it in VendorDesk, and sends tracking back to the retailer.
Retailers can connect through a free Shopify app ("VendorDesk Connect"), product feeds (CSV, JSON, or XML), emailed CSV purchase orders, or a private order page that needs no login.
VendorDesk is a business tool. It is for businesses, not consumers.
2. Who pays
You, the Customer, pay for VendorDesk. Your retailers never pay VendorDesk. Retailers who use VendorDesk Connect, the private order page, or other retailer-facing tools do so as part of your program and under your relationship with them.
3. Accounts and team access
- You must give accurate account information and keep it up to date.
- You control who on your team has access, and what they can do. You are responsible for everything done under your account, including by your team members and by retailers you invite.
- VendorDesk signs you in with one-time links sent by email, so keep access to your team's email inboxes secure. Tell us promptly at support@deskapps.app if you think your account has been accessed without permission.
4. Plans, billing, and fees
Plans. VendorDesk is offered on the following plans, billed monthly through Stripe:
| Plan | Monthly price |
|---|---|
| Starter | $249/month |
| Growth | $499/month |
| Scale | $999/month |
Each plan's features and monthly limits are shown on the pricing page at deskapps.app/vendordesk and on the Plan and billing page in the app. Custom plans and founding pilot plans are priced in a separate signed agreement.
Free trial. Your first plan starts with a 14-day free trial. You add a payment method when you start the trial. If you cancel before the trial ends, you are not charged. If you don't, your payment method is charged for your plan when the trial ends, and every month after that until you cancel.
Orders over your plan limit. If you process more orders in a month than your plan includes, each extra order costs $0.25. We never hold back or block orders because you went over your limit. Overage fees are billed with your next monthly invoice.
One-time services. Services like EDI setup, custom integrations, catalog clean-up, and retailer onboarding are quoted separately. We will agree the scope and price with you in writing before starting.
Payment. You authorize us to charge your payment method through Stripe for plan fees, overage fees, and any services you agree to. Fees renew automatically each billing period until you cancel.
Taxes. Prices do not include taxes. You are responsible for any sales, use, or similar taxes on your purchase, other than taxes on our income.
Price changes. We may change plan prices with at least 30 days' notice. New prices apply from your next billing period after the notice period. Any price locked in a separate signed agreement (such as a pilot agreement) applies for the period stated in that agreement.
Late payment. If a payment fails, we will let you know and Stripe will retry it. If it still can't be collected, your access to the app may be paused until you choose a plan again (see Section 13). Your retailers' orders keep being received while your access is paused.
5. Cancellation and refunds
You can cancel any time from the Plan and billing page in the app or by emailing support@deskapps.app. Your access continues until the end of the period you have already paid for. We do not give refunds or credits for partial billing periods or unused time.
6. Acceptable use
You agree not to, and not to let anyone using your account:
- Use VendorDesk for anything illegal, or to sell products you are not legally allowed to sell.
- Upload content you do not have the right to use, or that infringes someone else's rights.
- Send spam or unsolicited messages through VendorDesk.
- Try to break, probe, or bypass the Service's security, or access accounts or data that are not yours.
- Overload the Service on purpose, or use automated means to access it in ways not offered by us.
- Copy, resell, or reverse engineer the Service, or use it to build a competing product.
- Upload malware or harmful code.
We may remove content or suspend access that breaks these rules (see Section 13).
7. Your data
You own your data. "Customer Data" means the information you and your retailers put into VendorDesk, or that VendorDesk receives from your connected store and retailers on your behalf. This includes your catalog, prices, stock, retailer contacts, orders, and end customers' shipping details. You own Customer Data.
License to us. You give us permission to host, copy, process, transmit, and display Customer Data only as needed to provide, secure, and support the Service for you, and as described in our Privacy Policy and its Data Processing section. We do not sell Customer Data.
Your responsibilities. You are responsible for having the right to share Customer Data with us, including any personal information about your retailers and their end customers, and for giving any notices and getting any consents the law requires.
Privacy. Our VendorDesk Privacy Policy explains how we handle personal information, including our role as your processor. It forms part of these Terms.
8. Payments between you and your retailers
This section is important. Please read it carefully.
- Your own Stripe account. Retailer card payments go through your own Stripe account, connected to VendorDesk using Stripe Connect (standard accounts). Money from retailers goes straight to you.
- We never handle card numbers. VendorDesk never sees or stores full card numbers. We may receive limited payment details from Stripe, such as the card brand and last four digits.
- We are not a party to your sales. Any sale is between you and your retailer. VendorDesk is not a payment processor and not the merchant of record.
- Your responsibilities. You are responsible for your products, pricing, shipping, returns, refunds, chargebacks, taxes, invoicing and collection on net terms, and any disputes with your retailers or their customers. We are not responsible for any of these.
- Stripe's terms. Your use of Stripe is governed by your own agreement with Stripe.
9. Third-party services
VendorDesk connects to services we do not control, including Shopify and Stripe. Your use of those services is governed by their own terms. We are not responsible for their availability, changes, or actions. If a third party changes or limits its service, some VendorDesk features may stop working or change; we will make reasonable efforts to keep things running or tell you if a feature is affected.
10. White-label branding
On Growth and higher plans, you can show your own logo and name on retailer-facing pages and emails. You confirm you have the right to use any branding you upload, and you give us permission to display it for this purpose.
11. Availability and support
We work to keep VendorDesk available and reliable, but we do not guarantee any specific uptime or response time unless we agree to a service level in a signed, written agreement. The Service may sometimes be unavailable for maintenance, updates, or reasons outside our control. We will try to give advance notice of planned maintenance when practical.
Support is available at support@deskapps.app.
12. Changes to the Service
We may add, change, or remove features over time. If we remove a feature that materially reduces what your paid plan does, we will give you reasonable notice. If the change materially harms you, you may cancel and we will refund any prepaid fees for the period after the change takes effect.
13. Suspension and termination
Suspension. We may suspend your access, in whole or in part, if:
- your payment is overdue after we have told you and given you a reasonable chance to pay;
- you break Section 6 (Acceptable use); or
- we reasonably believe suspension is needed to protect the Service, other customers, or the public.
Where practical, we will tell you first and give you a chance to fix the issue.
Termination by you. You can cancel at any time (Section 5).
Termination by us. We may end these Terms if you materially breach them and do not fix the breach within 15 days of our notice, or immediately for serious breaches such as illegal use. We may also stop offering VendorDesk altogether with at least 60 days' notice, in which case we will refund any prepaid fees for the period after the Service ends.
Data export and deletion. After your account ends, you have 30 days to export your Customer Data. After that, we will delete it within 30 days, except where the law requires us to keep it. Copies in our backups are deleted as those backups expire, within a further 30 days.
What survives. Sections about fees owed, data, payments, confidentiality, disclaimers, limitation of liability, indemnities, and governing law continue after these Terms end.
14. Confidentiality
Each of us may share non-public information with the other, such as business plans, pricing, catalog data, retailer lists, and technical details ("Confidential Information"). Each party will:
- use the other's Confidential Information only for the purposes of these Terms;
- protect it with at least reasonable care; and
- share it only with people who need to know it and are bound to keep it confidential.
This does not cover information that is public through no fault of the receiving party, was already known to it, was independently developed, or was lawfully received from someone else. Either party may disclose Confidential Information if required by law, after giving notice where allowed.
15. Warranties and disclaimers
Each party confirms it has the authority to enter into these Terms.
Other than that, VendorDesk is provided "as is" and "as available." To the extent allowed by law, we do not make any other promises, express or implied, including that the Service will be error-free or uninterrupted, or that it is fit for a particular purpose. Order checks (stock, address, shipping regions) are tools to help you; you remain responsible for confirming your orders, stock, and shipping.
16. Limitation of liability
To the extent allowed by law:
- Cap. Each party's total liability arising out of or related to these Terms is limited to the fees you paid to us for VendorDesk in the 12 months before the event giving rise to the claim.
- No indirect losses. Neither party is liable for lost profits, lost revenue, lost data, business interruption, or indirect, special, incidental, or consequential damages, even if told they were possible.
- Exceptions. These limits do not apply to your obligation to pay fees, either party's indemnity obligations under Section 17, or liability that cannot be limited by law.
17. Indemnities
From us. We will defend you against any third-party claim that VendorDesk, as we provide it, infringes that party's intellectual property rights, and pay the resulting damages and costs finally awarded or agreed in settlement. This does not apply to claims caused by your content, your products, your modifications, or your combination of VendorDesk with things we did not provide.
From you. You will defend us against any third-party claim arising from your products, your sales and dealings with retailers and end customers (including payments, shipping, returns, taxes, and disputes), Customer Data you provide, or your breach of Section 6, and pay the resulting damages and costs finally awarded or agreed in settlement.
How it works. The party seeking protection must tell the other promptly, let it control the defense and settlement (no settlement that admits fault or imposes obligations on the protected party without its consent), and give reasonable help at the other party's cost.
18. Changes to these Terms
We may update these Terms. If we make a material change, we will tell you by email or in the app at least 30 days before it takes effect. If you keep using VendorDesk after that, the updated Terms apply. If you do not agree, you can cancel before the change takes effect.
19. General
- Governing law. These Terms are governed by the laws of the State of Montana, USA, without regard to conflict-of-law rules. Any dispute will be heard in the state courts located in Gallatin County, Montana, and both parties agree to that venue.
- Entire agreement. These Terms, the Privacy Policy, and any order form or signed agreement (such as a pilot agreement) are the whole agreement. If a signed agreement conflicts with these Terms, the signed agreement wins for the matter it covers.
- Assignment. Neither party may transfer these Terms without the other's consent, except to a successor in a merger, acquisition, or sale of substantially all of its relevant business.
- Events outside our control. Neither party is responsible for delays caused by events beyond its reasonable control, other than payment obligations.
- Notices. We send notices to the email address on your account. You send notices to support@deskapps.app, or by mail to Fantasium Media LLC, PO Box 186, Gallatin Gateway, MT 59730, USA.
- No waiver; severability. Not enforcing a term is not a waiver. If any part of these Terms is unenforceable, the rest still applies.
- Independent parties. We are independent contractors. Nothing here creates a partnership, agency, or employment relationship.
